Assistant General Counsel (Part-time) (Finance)



TransCore (TRN), a subsidiary of ST Engineering, is seeking a part-time Assistant General Counsel to join our legal team.

Summary: An integral member of the Legal Department, this person will be responsible for advising TransCore operations staff in negotiation of public works technology and construction contracts. This position will support and ensure compliance with data privacy and security laws, regulations, and contractual commitments affecting TransCore's business activities. This position reports to the General Counsel.

Essential Duties and Responsibilities include the following (other duties appropriate to the position may be assigned):
  • Perform public works construction contract administration activities including support in preparation of proposals in response to requests for information, qualifications, and/or proposals. This duty requires detailed review of technical specifications, contract terms and language, government and/or private procurement announcements, as well as any applicable statutory requirements,
  • Interact with Outside Legal Counsel as required and directed by General Counsel,
  • Act as a subject matter expert on matters relating to applicable privacy laws, including providing strategic data privacy and security matters,
  • Provide legal support for privacy and data security efforts, both at the corporate and project-specific levels.
  • Perform other related duties as may be assigned or required.
  • The expectation is that this position will work a maximum of 20 hours/week, with occasional additional hours when required, during normal working business hours of Monday through Friday, 8 am to 5 pm.

Qualifications:
  • J.D. from ABA-accredited law school
  • Admission in good standing to state bar of applicant's residence.

Required Skills & Experience:
  • 10 years' experience as a practicing attorney, with at least 5 years' experience in the area of data privacy and security.
  • Extensive privacy law knowledge: Deep and current knowledge of major global, federal, and state privacy regulations is essential, including but not limited to GDPR and California Consumer Privacy Act/California Privacy Rights Act (CCPA/CPRA).
  • Regulatory compliance: The ability to translate complex legal and regulatory requirements into actionable business policies, procedures, and controls.
  • Risk assessment and management: Experience in identifying, analyzing, and mitigating privacy and data security risks for TRN.
  • Experience managing the company's response to data breaches, including investigations and mandated notifications to regulators and individuals.
  • Contracts and vendor management: Expertise in drafting, reviewing, and negotiating contracts that involve privacy and data security, such as data processing agreements.
  • Regulatory investigations and litigation: Background in handling investigations by regulatory bodies and managing litigation matters related to data privacy and security.
  • Ability to work independently, analyze a variety of legal topics and conduct basic legal research.

  • Strong interpersonal skills.
