The Impact You Will Make in this Role:

As a Director, Human Resources Mergers, Acquisitions & Divestitures Integration, you will have a critical role in aligning HR processes, practices, and systems across the organization, particularly during periods of significant change, such as mergers, acquisitions, divestitures, or new technology implementations. This role involves coordinating with various HR functions, Corporate Development, and numerous cross-functional Solventum teams managing integration projects, and ensuring smooth transitions to maintain organizational efficiency and employee satisfaction. This role is crucial in ensuring HR functions are seamlessly integrated, mobilizing cross-functional teams, promoting operational efficiency, delivering synergies aligned with the HR strategy, and ensuring a positive employee experience during periods of transition. The ideal candidate will bring deep mergers, acquisitions, and divestitures experience, along with exceptional relationship skills, program management experience, cross-functional coordination capabilities, experience with the integration of acquired entities, a sharp understanding of HR operating models, business process governance, and enterprise change management.

Here you will make an impact by:

  • Program Leadership: Lead end-to-end HR workstreams specific to mergers, acquisitions, and divestitures integration planning and execution across HR and enabling functions.
  • Mobilization & Planning: Develop and manage integration playbooks, day-one readiness plans, employee matters, and milestone-driven roadmaps for HR scope areas.
  • Cross-Team Coordination: Lead cross-functional HR teams through comprehensive due diligence processes and support post-acquisition integration planning in partnership with the integration/transition management office. Partner with HR (CoEs, HRBPs), Legal, Communications, Finance/Tax, Commercial Operations, etc. along with external partners to ensure unified execution.
  • Stakeholder Management: Align with Corporate Development, cross-functional leads, and HR to secure resourcing, priorities, and timelines. Build and maintain relationships with potential targets and key stakeholders (investment banks, consultants, etc,)
  • Change Enablement: Align with broader enterprise change strategies to minimize disruption, ensure adoption, and maintain the employee and customer experience.
  • Risk Management: Identify, track, and mitigate risks to operational continuity, data access, or service levels during integration.
  • Value Realization: Work with Finance and HR leads (Total Rewards, HRBPs, etc.) to track and report and manage integration costs, and ROI.
  • Prepare and assist with legal and transaction documents, such as employee matters, Works Council communication, employee communications, etc.
  • Governance & Reporting: Establish governance frameworks, conduct integration readiness assessments, and facilitate Steering Committee updates. Ensure compliance with internal procedures throughout the deal process.
  • Serve as a thought-partner with Corporate Development and Integration/Transition Management Office leads specific to HR topics
  • Continuous Improvement: Identify and recommend enhancements to HR systems and processes based on integration experiences and feedback. Stay informed about industry best practices and emerging technologies to drive ongoing HR integration improvements.

Your Skills and Expertise
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:

  • Bachelor's Degree or higher from (completed and verified prior to start) from an accredited institution and a minimum of ten (10) years of experience in mergers, acquisitions, and divestitures (large-scale transformation initiatives)
  • Proven experience in HR management, project management, or system integration roles.
  • Proven ability to influence stakeholders at all levels and lead virtual, cross-regional/functional teams.
  • Strong experience in preparing and presenting reports on integration progress, challenges, and outcomes to senior leadership and other stakeholders.
  • Experience with deal structuring, valuations, modeling, robust diligence planning and contract negotiations.
  • Proven experience in analyzing HR integration-related data to identify trends, issues, and opportunities for improvement.

Additional qualifications that could help you succeed even further in this role include:

  • Demonstrated ability to lead large cross-functional teams.
  • Strong understanding of HR processes, systems, and compliance requirements.
  • Proven successful experience presenting to Senior Management.
  • Excellent communication, negotiation, and project management capabilities
  • Ability to manage multiple projects simultaneously.
  • Change management certification is a plus.

Applicable to US Applicants Only:The expected compensation range for this position is $222,044 - $271,387, which includes base pay plus variable incentive pay, if eligible. This range represents a good faith estimate for this position. The specific compensation offered to a candidate may vary based on factors including, but not limited to, the candidate's relevant knowledge, training, skills, work location, and/or experience. In addition, this position may be eligible for a range of benefits (e.g., Medical, Dental & Vision, Health Savings Accounts, Health Care & Dependent Care Flexible Spending Accounts, Disability Benefits, Life Insurance, Voluntary Benefits, Paid Absences and Retirement Benefits, etc.).
